2. Eligibility

You must be at least 18 years old or have legal authority to enter into binding agreements on behalf of a company or organization.

3. Quotes and Agreements

Project proposals, quotations, statements of work (SOW), and signed contracts take precedence over these Terms where applicable.

Unless otherwise agreed in writing:

  • Quotes remain valid for 30 days.
  • Work begins only after written approval and any agreed deposit has been received.
  • Timelines are estimates and may change based on project scope, client feedback, or third-party dependencies.

4. Client Responsibilities

Clients agree to:

  • Provide accurate information.
  • Supply required assets, credentials, and content.
  • Respond to requests for approval within a reasonable timeframe.
  • Ensure they own or have permission to use any materials provided to Agent 8.

Delays in client responses may extend project timelines.

5. Intellectual Property

Unless otherwise agreed in writing:

  • Agent 8 retains ownership of its proprietary software, frameworks, templates, tools, methodologies, libraries, and reusable components.
  • Upon full payment, clients receive ownership or an appropriate license for custom-developed deliverables specifically created for their project.
  • Third-party software, APIs, AI models, open-source components, and licensed services remain subject to their respective licenses.

6. AI Services

Our AI solutions may use third-party AI platforms, language models, cloud providers, or machine learning services.

Clients acknowledge that:

  • AI-generated outputs may contain inaccuracies.
  • Human review is recommended before relying on AI-generated content.
  • Agent 8 does not guarantee factual accuracy, legal compliance, or suitability of AI-generated responses for every use case.

7. Acceptable Use

You agree not to use our services to:

  • Violate applicable laws or regulations.
  • Infringe intellectual property rights.
  • Distribute malware or malicious code.
  • Attempt unauthorized access to systems.
  • Generate unlawful, fraudulent, abusive, or harmful content.
  • Interfere with the security or operation of our systems.

We reserve the right to suspend services where misuse is detected.

8. Confidentiality

Both parties agree to keep confidential information private and use it only for the purposes of providing or receiving services.

Confidential information does not include information that:

  • is publicly available;
  • was already known;
  • is independently developed; or
  • must be disclosed by law.

9. Payments

Unless otherwise agreed:

  • Invoices are payable according to the payment terms stated on the invoice.
  • Late payments may result in suspension of work.
  • Ownership of deliverables transfers only after full payment has been received.

Taxes, duties, and government charges remain the responsibility of the client unless otherwise specified.

10. Third-Party Services

Our solutions may integrate with third-party providers including cloud platforms, AI providers, payment gateways, communication platforms, analytics tools, and APIs.

We are not responsible for:

  • third-party outages;
  • pricing changes;
  • discontinued APIs;
  • changes in third-party functionality; or
  • data handled directly by third-party providers.

11. Website Availability

We aim to keep our website and services available but do not guarantee uninterrupted access.

Maintenance, updates, technical failures, or third-party outages may temporarily affect availability.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Agent 8 shall not be liable for indirect, incidental, consequential, special, or punitive damages.
  • We are not responsible for loss of profits, revenue, business opportunities, goodwill, or data.
  • Our total liability arising from any claim shall not exceed the amount paid by the client for the specific services giving rise to the claim.

13. Warranties

Services are provided on an "as is" and "as available" basis.

Except where required by law, Agent 8 makes no warranties regarding:

  • uninterrupted operation;
  • error-free performance;
  • compatibility with every environment;
  • fitness for a particular purpose; or
  • guaranteed business outcomes.

14. Indemnification

You agree to indemnify and hold Agent 8 harmless against claims, damages, liabilities, costs, and expenses arising from:

  • your misuse of our services;
  • materials supplied by you;
  • violation of these Terms; or
  • infringement of third-party rights.

15. Termination

Either party may terminate services according to the applicable agreement.

Upon termination:

  • outstanding invoices become immediately payable;
  • completed work remains payable;
  • licenses granted under these Terms remain subject to payment obligations.

16. Privacy

Your use of our website is also governed by our Privacy Policy.

17. Changes to These Terms

We may update these Terms periodically.

The revised version becomes effective when published on our website.

Continued use of our services constitutes acceptance of the updated Terms.

18. Governing Law
